Developer Portal Terms of Use
These Terms of Use (“Terms”) govern your access to and use of all developer portals and websites (“Portal”) provided by Early Warning Services, LLC (“Company,” “we,” “us,” or “our”), including but not limited to the following portals and websites:
- Paze Developer Portal (https://developer.paze.com) and any future iterations thereof. By accessing or using the Portal, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use the Portal.
1 . Authorized Use and Scope of Services
The Portal is designed to provide access to services, documentation, tools, Application Programming Interfaces (APIs), Software Development Kits (SDKs), code samples, data, and other content made available that is exclusively available to authorized users. Authorized users are individuals who have been granted access by the Company for the purposes of interacting with services, products, or content governed by the user’s participant agreement with the Company.
You agree to use the Portal only in accordance with the terms and conditions of the applicable participant agreement between you and the Company, including any relevant documentation, content, or services provided therein, as well as any Operating Rules, guidelines, or policies incorporated by reference. You further agree that your access to and use of the Portal is solely for the purpose of utilizing the services or content explicitly authorized under the terms of your participant agreement with the Company.
You shall not access or attempt to access any content, services, or systems that are not expressly covered by your participant agreement with the Company or that are outside the scope of your authorized use.
2 . Account Creation, Access Control, and Responsibilities
(a) Account Registration: To access features of the Portal, you will need to create an account by providing accurate and up-to-date information. You agree to provide true, complete, and accurate registration details, and to update your information as needed to maintain its accuracy.
(b) Confidentiality of Credentials: You are responsible for maintaining the confidentiality of your account credentials (username, password, etc.), and you agree not to share your login credentials with unauthorized individuals and entities. You are responsible for all activities that occur under your account. If you believe that your account has been compromised, you must notify the Company immediately.
(c) Access Restrictions: The Portal is intended for use only by authorized users, and access is restricted to those individuals and entities expressly granted such access by the Company. You may not permit unauthorized persons to access the Portal using your credentials. Any attempt to bypass security measures or gain unauthorized access to the Portal will be considered a violation of these Terms and may result in suspension or termination of access.
3. Permitted Use and Restrictions
You agree to use the Portal solely for the purposes expressly authorized by the Company. You may not use the Portal, including without limitation, content and materials made available therein, to:
(a) Access, retrieve, or engage with any content or services outside the scope of your participant agreement with the Company or that you are not explicitly authorized to access;
(b) Engage in any unlawful, fraudulent, or malicious activity;
(c) Reverse-engineer, decompile, disassemble, or otherwise attempt to derive or gain unauthorized access to the underlying software, code, architecture, or structure;
(d) Attempt to interfere with, disrupt, damage, or negatively affect the stability, functionality or integrity of the Portal or any services provided through it.
(e) Copy, modify, reproduce, distribute, sell, lease, rent, or create derivative works of any data or content provided through the Portal without prior written consent from the Company;
(f) Access or use any non-public APIs or services except as explicitly authorized in writing by the Company;
(g) Attempt to gain unauthorized access to any systems, networks, or data of Company or its users;
(h) Use any of the content or materials provided through the Portal to build or enhance a competing product or service;
(i) Use automated means (e.g., bots, scrapers, etc.) to access the Portal without prior written consent from the Company; and/or
(j) Share, transfer, or sublicense access credentials or keys issued to you with any third-party.
4. Confidentiality
(a) Definition: “Confidential Information” means all proprietary or confidential information disclosed by Company through the Portal or otherwise, whether in written, oral, electronic, or other form, including without limitation, APIs (public and private), SDKs, documentation, data, software, systems, business plans, technical specifications, and security protocols.
(b) Obligations: You shall:
(i) Use Confidential Information solely as permitted under these Terms and your participant agreement with the Company;
(ii) Not disclose Confidential Information to any third-party without prior written consent from the Company;
(iii) Take all reasonable steps to protect and prevent unauthorized use, access, or disclosure of Confidential Information; and
(iv) Notify Company immediately upon discovery of any unauthorized disclosure or use.
5. Feedback and Ownership of Submissions
By submitting any feedback, suggestions, comments, or other materials (“Submissions”) through the Portal, you acknowledge and agree that:
(a) You grant the Company a worldwide, irrevocable, perpetual, royalty-free, fully paid-up, transferable license to use, copy, modify, distribute, and otherwise exploit such Submissions for any purpose, including but not limited to improving the Portal, developing new services, and conducting business operations.
(b) You waive any and all rights to compensation, credit, or acknowledgment for any Submissions made through the Portal.
(c) You represent and warrant that you own or have all necessary rights to submit the feedback or content and that the content does not violate the rights of any third party, including intellectual property rights.
6. Data Privacy and Security
(a) Privacy Notice: Your use of the Portal is governed by our Privacy Notice, which outlines how we collect, use, and protect your personal and business information. By using the Portal, you consent to the practices described in the Privacy Notice.
(b) Security Measures: We employ commercially reasonable security measures to protect your data and the integrity of the Portal. However, you acknowledge that no system is entirely secure, and the Company cannot guarantee the complete security of your data or the Portal itself.
(c) Your Responsibilities: You agree to take reasonable precautions to protect your account credentials and any data you transmit through the Portal, including ensuring that your device and connection are secure.
7. Intellectual Property
(a) Ownership of Content: All content, software, designs, trademarks, logos, and other materials, in any form, made available through the Portal, including any content generated by the Company or provided as part of your participant agreement with the Company, are the property of the Company and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-sublicensable, non-transferable license to access and use such content solely as permitted under these Terms and your participant agreement with the Company.
(b) Restrictions on Use: Except as expressly authorized by the Company, you may not copy, modify, distribute, license, or otherwise use the content or materials available on the Portal for commercial or non-commercial purposes.
8. Limitations of Liability
(a) No Warranty: The Portal and all content and services provided through it are offered on an “as is” and “as available” basis. The Company does not warrant that the Portal will be error-free, uninterrupted, or free of viruses or other harmful components.
(b) Limitation of Liability: To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunities, arising out of or in connection with your use of the Portal, whether in contract, tort, or otherwise, even if the Company has been advised of the possibility of such damages.
9. Termination of Access
(a) Right to Suspend or Terminate: The Company reserves the right to suspend or terminate your access to the Portal at any time, with or without cause, including but not limited to violations of these Terms, unauthorized access or use, or the expiration or termination of your participant agreement with the Company.
(b) Consequences of Termination: Upon termination of your access to the Portal, you must immediately cease using the Portal, and any data, content, or services accessed through the Portal must be returned or deleted, as directed by the Company.
10. Governing Law and Dispute Resolution
You agree that all matters relating to your access to or use of the Portal, including all disputes, will be governed by the laws of the United States and by the laws of the State of Arizona without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Maricopa County, Arizona, and waive any objection to such jurisdiction or venue.
Any claim under these Terms must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under separate participant terms and conditions of purchase for goods and services are not subject to this limitation.
No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees. In the event of any controversy or dispute between the Company and you arising out of or in connection with your use of the Portal, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time, which shall not exceed thirty (30) days, then either party may submit such dispute or controversy to mediation. If the dispute or controversy cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
11. Modifications to Terms
The Company reserves the right to modify or update these Terms at any time. Any changes will be posted on this page, and the revised Terms will be effective as of the date posted. You are encouraged to review these Terms periodically. Your continued use of the Portal after any changes have been posted constitutes your acceptance of those changes.
